GOVERNANCE
Responsible business practices
We are committed to upholding integrity, transparency and high ethical standards to safeguard our business and maintain trust. Strong governance and responsible supply chains are essential to managing risk and supporting long-term value creation.
Our governance framework is supported by a Code of Conduct and a set of policies that guide how we work and make decisions every day.
Ethical business conduct
Our Code of Conduct sets clear expectations across the Group, aligning our practices with international standards, including those of the International Labor Organisation (ILO) and the International Maritime Organization (IMO).
We maintain a zero-tolerance approach to corruption, bribery, and unethical behaviour, supported by our Anti-Corruption Policy. All policies are implemented across the Group and translated into local languages to ensure consistent understanding and application.
Responsible supply chain
With a large supplier base across the value chain, maintaining a strong and responsible supply chain is key to minimising ESG risks and meeting regulatory and stakeholder expectations.
Our Supplier Code of Conduct sets clear standards for suppliers and business partners, promoting sustainability, integrity, and human rights across the value chain. We expect all partners to operate in line with these principles.

Transparency and due diligence
NFI is subject to the Norwegian Transparency Act and conducts risk-based due diligence in line with the OECD Guidelines for Responsible Business Conduct. We report annually on how risks are identified and managed across our value chain.
Inquiries about our reporting or due diligence measures can be directed to contact@nfigroup.no.
More information on the Norwegian Transparency Act can be found here.
Reporting compliance concerns
We want a low threshold for reporting concerns. If you suspect a breach of our Code of Conduct or Supplier Code of Conduct, you can contact us directly at contact@nfigroup.no or use our whistleblower channel.
Our third-party operated whistleblower hotline ensures confidential and secure handling of all concerns.
Corporate governance
The Board of Directors is responsible for ensuring sound corporate governance across the Group.
NFI adheres the Norwegian Code of Practice for Corporate Governance, applying relevant principles while adapting to its status as a non-listed company. For more information, see the Investor section.
CYBER SECURITY
Resilience of maritime operations
Cybersecurity is a growing concern in maritime operations, where digital systems play a vital role. Threats like hacking of navigation or automation systems could cause serious safety risks, environmental harm, and disruptions that impact both passengers and freight.
Cybersecurity is integrated into NFI’s governance and risk management framework. We operate a structured information security framework based on ISO/IEC 27001:2022 for IT and IEC 62443 for OT, aligned with evolving regulatory requirements including the EU NIS2 Directive. A Group-wide Information Security Management System (ISMS) ensures a consistent approach to policies, risk management and compliance across the organisation.
These efforts help us stay ahead of evolving cyber threats and ensure our maritime operations remain safe and resilient.
